About these terms
These terms govern your use of centraspark.com and its website content and private previews. The website is operated by CentraSpark Management Systems Inc. (CentraSpark, we, us or our), based in Saskatoon, Saskatchewan, Canada. Please read these terms before using the website. If you do not agree, you should discontinue use.
If you use a private preview on behalf of a business, you must have permission to do so. Separate signed agreements, including service agreements or confidentiality agreements, continue to apply and take priority to the extent they conflict with these website terms on the same subject.
Website information and service enquiries
The website describes our business, services and software development. Information may change, and examples, product descriptions, availability, timelines and forecasts may be incomplete or illustrative. We aim to keep content useful and accurate but do not promise that every item is current or free of errors.
Sending an enquiry, viewing a presentation or using a demonstration does not purchase a service, place an order or create a software subscription. Any paid engagement requires a separate agreement covering the relevant scope, fees, deliverables and responsibilities. Website statements do not amend an existing service agreement.
Private demonstrations and previews
Private access is provided for evaluation and discussion. Keep access credentials and non-public presentation material within the group authorised by CentraSpark. Do not publish or redistribute private material or share access beyond that group without our permission.
Demonstrations may use sample customers, business activity, stock, pricing, orders and forecasts. A simulated approval or order does not reserve stock, send a live purchase order, collect payment or approve an installation. Estimates are not guarantees of sales, supply, delivery dates or business results. Product and venting examples require independent review against the manufacturer’s instructions and actual project conditions.
Use sample information in previews unless we have expressly agreed to receive real information through an appropriate service arrangement. Preview work may not be retained and may be reset, changed or removed.
Permitted use
You may browse public pages and use the website for lawful business enquiries and authorised evaluations. You must not:
- attempt to bypass access controls, access another person’s information or probe systems without written authorisation;
- introduce malware, spam or activity that damages, overloads or disrupts the website;
- impersonate another person, misrepresent your authority or submit unlawful information;
- use the website or its content in a way that infringes privacy, confidentiality or intellectual property rights.
We may restrict or suspend access where reasonably necessary to address misuse, protect the website or comply with the law. Any rights under a separate service agreement remain subject to that agreement.
Content and intellectual property
Website text, design, software, logos, images, films and other materials belong to CentraSpark or their respective owners and are protected by applicable law. Brand names and third-party material remain the property of their owners.
You may view public content and keep reasonable copies for your own internal evaluation or reference, retaining ownership notices. This permission does not allow you to resell, republish, modify or commercially exploit our material, or use a logo to imply endorsement, without the relevant owner’s permission. Rights and exceptions provided by applicable law are preserved. Ownership and licensing of work produced for a client are governed by the relevant service agreement.
Information you submit
You are responsible for the information you send and for having authority to share it. Please avoid sending sensitive personal information, confidential customer records or trade secrets through a general website enquiry.
You retain ownership of your submitted material. You permit us to use it to review and respond to your enquiry and discuss the work you request. This does not give us ownership of your ideas or a general right to publish your submission. If a discussion requires a confidentiality agreement, arrange that with us before sharing the relevant material. Personal information is handled as described in our privacy policy.
Third-party websites and services
The website may link to third-party websites or use providers for hosting, forms and email. A link does not mean that we control or endorse the linked service. Review any third party’s terms and privacy practices before using its service. Nothing in this section removes our responsibilities for personal information under our control.
Availability and limitations
The website and evaluation previews are provided on an “as is” and “as available” basis, to the extent permitted by law. We do not guarantee uninterrupted access, compatibility with every device or the accuracy of demonstration outputs. We may update, interrupt or discontinue website features.
To the extent permitted by law, CentraSpark is not liable for indirect or consequential loss, loss of profits or business opportunities arising from use of, or inability to use, this website or a preview. This limitation does not apply where the law prohibits it and does not exclude liability for fraud or intentional misconduct. Nothing in these terms removes statutory consumer rights or other rights that cannot lawfully be excluded or limited. Liability for contracted services is addressed in the applicable service agreement.
Applicable law and disputes
These website terms are governed by the laws of Saskatchewan and the federal laws of Canada applicable there. Subject to any mandatory legal rights you have elsewhere, disputes about these terms may be brought before the courts of Saskatchewan. Nothing here prevents you from using a regulator, tribunal or court available to you under a law that cannot be displaced by agreement.
If a provision is found unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions will continue to apply. A delay in enforcing a right does not by itself waive that right.
Changes and contact
We may revise these terms by posting an updated version and changing the date above. Changes apply to subsequent website use and do not retrospectively amend a separate signed agreement. We will provide additional notice or seek agreement where required by law.
